Terms & Conditions

Professional Standards

 

Consultants working at Green Jay Group “The Company” are qualified Chartered Institute of Personnel and Development professionals and will abide by the Code of Ethics set.

 

Delivery of Services

 

The Consultant will deliver the services agreed in the proposal, in conjunction with the client. If during the course of the assignment, the client requires any changes to the scoping proposal, these will be discussed and agreed with the client at the earliest opportunity.

 

Where a consultant from The Company is required to work at client premises, the client is requested to provide reasonable working facilities free of charge. For example; PC, desk; meeting rooms, telephone, admin support, etc.

 

Fees

 

A written estimate of the fees covering the consultancy time required to deliver the assignment will be included in the proposal. Additional services which are required outside of the assignment will be agreed with the client before additional fees are incurred.

Limitation of liability 

 

To the fullest extent permitted at law, Green Jay’s provision of products or services makes no (and expressly disclaims all) representations or warranties of any kind, express or implied, with respect to the information, content, materials, products or

services provided under this agreement including, without limitation, warranties of merchantability and fitness for a particular purpose. In addition, whilst every effort has been made to ensure that the information presented is accurate and that the opinions expressed are sound, Green Jay cannot be made liable for any errors or omissions or for any losses or consequential losses resulting from decisions based on its contents. Except as specifically stated in this agreement, to the fullest extent permitted at law, neither Green Jay nor any of its affiliates, directors, employees or other representatives will be liable for damages arising out of or in connection with the use of any information, content, materials, products or services provided by Green Jay.

 

This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. For the avoidance of doubt, Green Jay does not limit its liability for death or personal injury to the extent only that it arises as a result of the negligence of Green Jay, its affiliates, directors, employees or other representatives. Green Jay will be liable for losses and damages arising out of negligence by Green Jay, with a cap of the project fee value.

 

Scope of HR Consultancy Services

 

Green Jay provides guidance and recommendations on HR processes, best practices, and employee relations based on industry standards and experience. However, our services do not constitute legal advice. Employment law and regulations may change, and the interpretation of such laws can vary based on specific circumstances. Clients are strongly advised to seek independent legal counsel before making decisions that have legal implications, including but not limited to disciplinary actions, dismissals, and contractual agreements. Green Jay accepts no liability for any legal consequences resulting from actions taken based on our advice.

Title and copyright 

 

All right, title, and interest (including all copyrights and other intellectual property rights) in the products or services (in both print and machine-readable forms) belong to Green Jay or its third-party suppliers of materials. You acquire no proprietary interest in the products or services, or copies thereof. 

 

Confidentiality

 

The Consultant will not disclose information about the client or the client’s business to any party outside the client’s business. Internal confidentialities or sensitivities will be respected. All data will be dealt with in accordance with the General Data Protection Regulation (‘GDPR’) and the Data Protection Act 2018 (the ‘2018 Act’).

 

Insurance

 

The Company shall maintain Professional Indemnity insurance sufficient to cover all of the obligations to the client in the delivery of The Assignment up to £1,000,000 in aggregate coverage per policy per year.

Invoicing

 

Payment is due as follows:

 

a) For monthly retainers the fee shall be payable for the first month or part month on presentation of the invoice. All subsequent invoices will be issued on the 1st of each month.

b) For Project services the fee shall be payable within 30 days of receipt of the invoice following 25%, 50% and 75% and 100% completion of the work.

 

Unless otherwise agreed, payment terms are 14 days from receipt of invoice.

 

Cancellation

 

For scheduled events or projects of one or more days’ duration, cancellation fees will be payable as outlined below:

 

Over 28 days before the event - no charge

28-14 days before the event - 20%

13-7 days before the event - 50%

6 days or less before the event - 75%

Acceptance

 

The proposal and fee estimate will remain in force for a period of three months after submission, after which, the fee estimate will be reviewed. Written confirmation of acceptance by the client is requested, including any subsequent agreed changes to the scoping proposal. In the absence of written confirmation, engagement of The Company for The Assignment will be regarded as full acceptance of these terms and conditions.

 

Termination

 

The services of The Company can be terminated in writing by either side after consultation. In this event, The Company will be paid in full for services delivered to the point of termination and cancellation fees may be charged. All data and materials, including copies which belong to The Company, delivered up to the point of termination will be returned to Green Jay Group.

 

Law and jurisdiction 

 

The agreement shall be governed by and construed in accordance with the laws of England and shall be subject to exclusive jurisdiction of the English Courts.

What to include in the T&C document

Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.
